The Finnish Financial Supervisory Authority has approved the demerger and listing prospectus for WISA Group Plc, with trading in WISA shares on Nasdaq Helsinki expected to begin on November 2, 2026, according to UPM-Kymmene Corporation.
UPM announced on April 29 that its Board of Directors approved a demerger plan under which all assets and liabilities relating to the UPM Plywood business area will transfer without liquidation to WISA, a company to be established in the partial demerger, with the planned completion date set for October 31, 2026, subject to approval by an Extraordinary General Meeting convened for August 31.
WISA, one of the leading European plywood producers, has appointed Tuija Suur-Hamari as President and CEO upon completion of the demerger, with her position on UPM's Group Executive Team ending as she transitions to WISA. WISA's Group Leadership Team members will continue in their current UPM roles until the demerger completion date.
The Board of Directors of UPM has set performance targets for WISA including sales over Euro 550 million by 2030, comparable EBIT of 13% of sales by 2030, and net debt to comparable EBITDA under 1.5x.
WISA's strategy focuses on premium pricing through high-quality products and expertise, partnership-led customer relationships, two strategic product lines comprising softwood and hardwood products, operational efficiency with available capacity to increase production volumes, and continuous improvement through targeted investments and digital tools.
